Terms of Service

1. Acceptance of Terms

By accessing or using the Weavin platform at https://weavin.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. We may update these Terms at any time; continued use after changes constitutes acceptance.

2. Description of Service

Weavin is a managed platform built on OpenClaw that enables users to create, configure, and deploy AI-powered avatars (agents) to messaging platforms including Telegram, Discord, Slack, Feishu/Lark, WebChat, and others. The Service includes:

• Avatar creation and personality configuration
• Multi-platform channel integration
• LLM API key management and request proxying
• Dedicated cloud infrastructure provisioning per avatar
• Token usage tracking and billing

3. Account Registration

To use the Service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

4. Bring Your Own Key (BYOK)

The Service operates on a Bring Your Own Key model. You are required to provide your own API keys from supported LLM providers (e.g., Anthropic, OpenAI, Google Gemini, OpenRouter) to power your avatars. By providing an API key, you represent and warrant that:

• You have the right to use the API key and are authorized by the provider to do so.
• You are solely responsible for all charges incurred by the LLM provider through your API key usage.
• You will comply with the terms of service of the respective LLM provider.

Your API keys are encrypted at rest using AES-256-GCM. We access them only to proxy requests to the LLM provider on behalf of your avatars. We are not responsible for any charges, rate limiting, suspension, or termination of your account with any LLM provider.

5. Channel Credentials

When you connect a messaging platform, you provide channel credentials (e.g., bot tokens, app secrets). By providing these credentials, you confirm that you have the authority to use them and that your use complies with the platform's terms of service. We encrypt all channel credentials at rest and decrypt them only when deploying your avatar.

6. User Responsibilities

You agree to:

• Provide accurate and complete account information.
• Not use the Service for any illegal, harmful, or abusive purpose, including spam, harassment, fraud, or distribution of malware.
• Not attempt to circumvent usage limits, reverse-engineer the Service, or abuse the platform infrastructure.
• Be solely responsible for the behavior, content, and output of your AI avatars, including any messages they generate or actions they take on messaging platforms.
• Comply with the terms of service of all third-party platforms and providers you connect through the Service.

7. AI-Generated Content

Your avatars generate content using third-party AI models. You acknowledge and agree that:

• AI-generated content may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and monitoring the output of your avatars.
• We do not control, endorse, or guarantee the accuracy of content generated by AI models. The quality and behavior of responses depend on the LLM provider, the model selected, and the personality instructions you configure.
• You are responsible for ensuring that your avatars comply with applicable laws and the acceptable use policies of the messaging platforms where they operate.
• We are not liable for any damages arising from AI-generated content, including but not limited to reputational harm, misinformation, or regulatory violations.

8. Subscriptions and Billing

Paid plans are billed on a per-avatar, monthly basis. By subscribing, you authorize us to charge your payment method through Stripe at the applicable rate. Key billing terms:

• Pricing: Current pricing is displayed on our website and may change with 30 days' notice.
• Cancellation: You may cancel at any time. Your avatar will continue to operate until the end of the current billing period.
• Refunds: Refunds are provided at our sole discretion. Partial-month refunds are generally not provided.
• LLM costs: You are solely responsible for any costs incurred with LLM providers through your own API keys. These charges are separate from Weavin subscription fees.

9. Service Level

We strive for high availability but do not guarantee specific uptime percentages. Each avatar runs on a dedicated cloud machine; we monitor health and attempt automatic recovery, but outages may occur. Enterprise customers may negotiate separate SLA terms.

10. Intellectual Property

You retain all rights to the content you create, including avatar personalities, configurations, and any data you upload. We retain all rights to the Service, including its design, code, and underlying technology. Nothing in these Terms transfers ownership of intellectual property from one party to the other.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

12. Limitation of Liability

To the maximum extent permitted by law, Weavin and its operators, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of revenue, data, or business opportunities
• Business interruption or downtime
• Content generated by AI avatars
• Unauthorized access to or alteration of your data
• Actions or failures of third-party LLM providers or messaging platforms

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

13. Indemnification

You agree to indemnify and hold harmless Weavin from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or the actions and output of your AI avatars.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your avatars will be stopped, and your data will be deleted in accordance with our Privacy Policy. You may terminate your account at any time by contacting us.

15. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
